By downloading, installing, or using the Cella mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and roundhill.io ("we," "us," or "our") regarding your use of Cella.

Description of Service

Cella is a personal digital storage application that allows you to:

• Create and store notes, journal entries, and conversations
• Organize content with tags and smart categorization
• Use on-device AI for conversations and content analysis
• Sync data across your devices via iCloud (optional)
• Import content from other applications

User Responsibilities

You agree to:

• Use the App only for lawful purposes
• Not attempt to reverse engineer, decompile, or disassemble the App
• Not use the App to store illegal, harmful, or offensive content
• Maintain the security of your device and account
• Comply with all applicable laws and regulations

Privacy and Data

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using Cella, you agree to our Privacy Policy.

You retain ownership of all content you create and store in Cella. We do not claim any rights to your personal data or content.

Subscription and Payments

Cella may offer premium features through subscription plans. Subscription fees are charged through your Apple ID account and are subject to Apple's Terms of Service.

• Subscriptions automatically renew unless cancelled
• You can manage subscriptions in your device settings
• Refunds are subject to Apple's refund policy
• Premium features may change over time

Intellectual Property

The Cella app, including its design, features, and functionality, is owned by roundhill.io and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes.

Disclaimers

The App is provided "as is" without warranties of any kind. We do not guarantee that the App will be error-free, secure, or continuously available.

While we strive to protect your data, you are responsible for maintaining backups of important information.

Limitation of Liability

To the maximum extent permitted by law, roundhill.io shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the App.

Termination

You may terminate your use of the App at any time by uninstalling it from your device. We may terminate or suspend access to the App at our discretion.

Upon termination, your right to use the App ceases immediately, but your data remains on your device unless you delete it.

Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes through the App or by email. Continued use of the App after changes constitutes acceptance of the new Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction where roundhill.io is located, without regard to conflict of law principles.
